Terms and Conditions of Contract (as of Nov. 2007)

  1. The contract is between EVA Creative (�The Contractor�) and the person (whether a real person or other legal entity) specified and The Client as designed in the schedule of works agreed between The Contractor and The Client or The Client�s agent (�The Client�).
  2. The Contractor will execute for and on bevalf of the client the works specified and detailed in the schedule of works agreed between The Contactor and The Client (�the works�) and that at the price and subject to the other terms as have been agreed between The Contractor and The Client, whether as detailed in the said schedule of works or as otherwise agreed between The Contractor and The Client either in writing or by other means whether electronic or otherwise. Nothing contained in this provision will, however, be deemed to authorise any deviation from or alteration to the works and others specified in the schedule of works unless such deviation has been agreed by both The Contractor and The Client or The Client�s authorised agent.
  3. The works will be so executed on the basis of the schedule of works submitted to The Contractor by The Client as the same may have been revised and mutually agreed between The Contractor and The Client. It is a specific and essential condition of the contract that any particular requirements of the client in relation to content, layout, design, function, colour or any other matter relating to the works will be specified in the schedule of works. In the absence of specific direction by The Client, The Contractor will be entitled to use his own skill and judgment in relation to any matter relating to the content, layout, design, function colour or any other matter relating to the works.
  4. If The Client wishes a specific corporate or other logo or design incorporated in the works then the cost of preparing and providing such logo will, if so specified by The Contractor, be in addition to the charges specified by The Contractor in the schedule of works.
  5. Payment by The Client will be made in accordance with the terms of payment agreed in the schedule of works. Payment will not be deemed to have been made until The Contractor has received either cash, a Banker�s Draft, or cleared funds in his bank account.
  6. In the event of stage payments being agreed, The Contractor will not carry out any further work until any stage payment due has been received by him. In this respect all payments are due to be received by The Contractor within three working days of such demand for payment being made to The Client by The Contractor. In this respect �working days� are Monday to Friday, inclusive, the first of such three days being the first working day after such demand for payment has been made. Any delay caused by late payment by The Client will be added to any completion date specified in the schedule of works. Such delay to be added to any completion date will also include any further delay caused by The Contractor having to reschedule other work because of late payment or any other cause attributable to the actions of The Client or The Client�s agent (if any).
  7. The works will not be released to The Client until all monies due to The Contractor have been paid by The Client, and in this respect The Contractor asserts a right of general lien over the works and The Client agrees to the works being subject to such general lien.
  8. In the event of the works being instructed by an agent for the eventual user then unless otherwise agreed such agent will stand as The Client in respect of all and any obligations due by The Client to The Contractor.
  9. The obligation of The Contractor is only to provide the works as specified by The Client. No guarantee is given as to the suitability of the works for any particular purpose. Neither is any guarantee given in relation to reliability of the works. In particular, but without prejudice to the foregoing generality, The Contractor will not be liable to The Client for any loss, financial or otherwise, whether the same be direct, indirect or consequential in relation to any malfunction, design error or failure of the works in any manner whatsoever (including, without prejudice to the foregoing generality, any such malfunction, design error, or failure of the works caused by negligence on the part of The Contractor) or through The Client making use of the works.
  10. The Client warrants that all designs, wording or other detail submitted to The Contractor by The Client are so submitted free from any copyright, licence or other restrictions or liabilities and The Client agrees to indemnify, and hereby so indemnifies The Contractor from all and any liabilities, financial or otherwise, which my arise from The Contractor incorporating in the works anything so submitted to The Contractor by The Client.
  11. The Contractor may, at his own discretion, sign the works and if he should so sign the works then such signature will remain on the works and will not be removed.
  12. The Contractor asserts his copyright and other intellectual property rights over the works. The copyright and rights of intellectual property pertaining to the works insofar as the same may be the original work of The Contractor or novel or innovative use by The Contractor of pre-existing programmes or tools, and the rights of copyright and intellectual property in and to the works will remain the property of The Contractor unless otherwise agreed by The Contractor in writing.
